General Terms of Sale

The present general terms and conditions of sales are concluded between, on one side, the society LONG WATCH STUDIO with a share capital of 5.000€, headquartered at Centre d'affaires OBC, 3 rue des cigognes, 67960 ENTZHEIM, FRANCE, registered company at Registre du Commerce et des Sociétés de STRASBOURG n. 828 437 236 named LONG WATCH STUDIO, managing the web site Long Watch Plugins (https://plugins.longwatchstudio.com) and, on the other side, with any natural or legal person that wants to buy, through the website Long Watch Plugins (https://plugins.longwatchstudio.com), hereinafter “the Buyer”.

Article 1. Subject

These General Terms and Conditions of Sales have the purpose to define the contractual relationships between LONG WATCH STUDIO and the Buyer, as well as the conditions applying on any purchase made on the website Long Watch Plugins (https://plugins.longwatchstudio.com). Acquiring goods or services through this site means that the buyer accepts the present sales conditions without reserve. Before undertaking any transactions, the buyer acknowledges having full legal capacity to bind himself to the present general terms and conditions of sales.

The company LONG WATCH STUDIO retains the rights to update, at any time,these General Terms and Conditions of Sales, in order to comply to any new rules or in order to improve efficiency of his website. In that way, the General Terms and Conditions of Sale, that have to be taken as it, are those in apply at the date of the purchase by the Buyer.

Article 2. Products

The products offered for sale are those mentioned on the website Long Watch Plugins (https://plugins.longwatchstudio.com) from the company LONG WATCH STUDIO. The company LONG WATCH STUDIO retains the rights to update, at any time, the list of offered products. Each product is showed on the website as a summarize of its main technical features and its practical application. The photographs are as accurate as possible but cannot ensure complete similarity with the product offered. The products showed on the website Long Watch Plugins (https://plugins.longwatchstudio.com) are intended for buyers living in countries that allows the use of these products.

Some products have Trial versions, limited in time, that are available for free for demo purposes. Each legal person or legal entity can only obtain those products once. If any attempt is made to obtain multiple copies of trial products, LONG WATCH STUDIO will take every measure it evaluates necessary to stop or counter the attempt.

Article 3. Prices and subscriptions

Prices shown on the website Long Watch Plugins (https://plugins.longwatchstudio.com) are prices in Euros (€) exclusive of VAT. Any change in the rate of VAT may be reflected in the prices of the products. LONG WATCH STUDIO reserves the right to change the prices at any time, but the only one applicable to the buyer will be the one shown on the website the day of the order.

The subscriptions sold on https://plugins.longwatchstudio.com come with a free month of subscription. Only one free month is allowed per product. Any attempt to benefit from the free month multiple times will result in the orders being cancelled.

Article 4. Support

LONG WATCH STUDIO provides online support for all plugins sold on its website. LONG WATCH STUDIO only provides support to active subscribers or owners of a lifetime license.

Support is provided for the following reasons only :

Bugs encountered while using the plugin
Difficulty to install or activate the plugin
Help needed for the initial setup of the plugin

Before sending a support request to our team, please make sure you have read our extended documentation. It contains all the information needed to set up and use our plugins.

Warning : Support does not cover the following :

Help to code extra features for plugins
Help to find hooks or core coded features
Advanced settings or setting up the plugin for you

Hooks that are available to use are detailed in our documentation. If you need our experts to help you in adding some extra features or to set up the plugin for you, please refer to the development and training sections of this website.

Article 5. Orders and payment arrangement

Before any order, the buyer has to create an account on the website Long Watch Plugins (https://plugins.longwatchstudio.com). You are able to create an account on the login Menu and choose Register. To make a new order or to consult his account details (previous orders, addresses, licence keys), the buyer will have to login with these informations. LONG WATCH STUDIO offers the buyer different ways to order and pay the products he wants, with 2 payments ways to choose from :

– Payment by Credit Card (using Braintree system) : The buyer chooses the products he wants to order. In the shoppping cart he can change the quantities or discard a product. Then, he chooses the payment arrangement : “Credit card” and write down his credit card informations asked for. The buyer must review the general terms and conditions of sales and tick the corresponding box. The buyer is invited to validate the order by clicking the “Order” button. This last click will conclude the order contract between LONG WATCH STUDIO and the Buyer. The buyer will get a confirmation of his order. Once the payment is accepted, the buyer will get an e-mail confirming the order. This email also contains the links and keys needed to install and activate the products and an invoice that will summarize the order.

The payment order may be revoked in case of misuse of the card in accordance with the agreement between the buyer and his bank. Check bank contract about misuse of credit card, it may be different in each country. To get a refund, the buyer has to write to his bank and use the internal condition of bank terms and conditions of use of credit cards. In France you will have 70 days after the purchase to do it, or 120 if your bank has it into the contract they filled. All amounts will be withdrawn by the bank in a delay of one month after receiving all the necessary documents. No fee can be asked to the buyer for the withdrawal of these amounts. Again, these conditions are in the French law, check your own condition with your bank if your country is not France.

Confirmation of an order implies full and entire acceptation of these terms and conditions of sale. Provided data and recorded confirmation will prove the completion of the transaction. If the buyer wrote down an email, and if it figures on the order, LONG WATCH STUDIO will send the buyer the order confirmation. If the buyer wants to contact LONG WATCH STUDIO, he can do it in two different ways :

– Secured Payment by Paypal (using the Paypal system) :The buyer chooses the products he wants to order. In the shoppping cart he can change the quantities or discard a product. Then, he chooses the payment arrangement : « Paypal ». The buyer must review the general terms and conditions of sales and tick the corresponding box. The buyer is invited to validate the order by clicking the “Pay with Paypal” button.The buyer is redirected to the Paypal interface to fill in the required payment information. If the payment is accepted, the order will be registered and the contract accepted.The payment by Paypal can’t be revoked. This last click will conclude the order contract between LONG WATCH STUDIO and the Buyer. The buyer will get a confirmation of his order. Once the payment is accepted, the buyer will get an e-mail confirming the order. This email also contains the links and keys needed to install and activate the products and an invoice that will summarize the order.

Article 6. Property reserve

LONG WATCH STUDIO keeps the full and whole property of products sold up to the perfect payment of the price, the principal, expenses and taxes were included.

Article 7. Withdrawal

The buyer, qualified as a consumer (as described in the French consumption code “Code de la Consommation”), explicitly acknowledges that execution of LONG WATCH STUDIO products and helpdesk shall start as soon as its full payment has been received, i.e. before the period of seven clear days mentioned in the consumption code about the withdrawal right. Consequently, and in compliance with Article L.121-20-2 of the French consumption code “Code de la Consommation”, the withdrawal right shall not be applied, at the time of first buy, or at the time of subsequent orders or renewals.

Article 8. Warranty

All LONG WATCH STUDIO products available on LONG WATCH PLUGINS benefit from legal warranties considered and covered by articles 1641 and following by the French civil code. In case of non compliance of product sold, the product may be disabled (license will be revoked) and withdrawn. All claims have to be done using the following email : plugins@longwatchstudio.com in a delay of thirty days next to the purchase.

Article 9. Responsability

LONG WATCH STUDIO, in the distance selling process, only has a best-efforts obligation. No responsibility is assumed in case of damages provided by usage of internet as loss of datas, breach, virus, service breakdown, or any unvolunteer problems.

Personal information that you provided during the subscription and/or use of our services, as indicated on our website at the time of their collection, is collected and processed by LONG WATCH STUDIO in an honest and legal way, in compliance with current applicable French law concerning data processing: modified Act 78-17 of January 6, 1978.

Client personal data (surname, first name, corporate name, email addresses, bank details, password…) are collected by the company Long Watch Studio for the purposes of good order management (processing, establishment of invoices and maintenance contracts…). The User is informed of whether such data is mandatory or optional. Unless the mandatory data is provided, orders cannot be registered. In addition, the client provides his or her personal information voluntarily and undertakes to provide us with information that is truthful and sincere.

The recipients of such data are those necessary for processing and managing orders within the company Long Watch Studio. These data will never be passed on to third parties.

In accordance with article 6 of CNIL deliberation no. 2005-112 of 7 June 2005 and in order to fulfil its legal and regulatory obligations in that regard, client personal data shall be stored for a period of 10 years. Data relating to prospects shall be deleted no later than one year after their last contact or if they have not responded to two successive approaches.

The company Long Watch Studio may be required to pass on this data in response to a legal-authority injunction.

Article 12. Applicable law – jurisdiction

This contract is governed by French law with regards the rules of both form and substance. The text of the French version of this contract shall govern in the event of a dispute of interpretation of the present Contract. The parties should endeavor to settle any dispute concerning the validity, interpretation or execution of this contract on an amicable basis. Where no amicable solution can be found, any dispute concerning the validity, interpretation or execution of this contract shall be under the exclusive jurisdiction of the French Courts of the corporate headquarters of LONG WATCH STUDIO (STRASBOURG).
